1. GENERAL PROVISIONS

1.1. This public offer regarding a charitable donation (hereinafter referred to as the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine, is an offer from the Charitable Organization "Charitable Foundation 'CodeLions Ukraine'", identification code 45384526, located at: Ukraine, 79004, Lviv Region, Lviv City, Volodymyra Velykoho Street, Building 4, Office 418 (hereinafter referred to as the "Foundation"), represented by the Director of the Foundation - Maria Romanyvna Dudass, acting based on the Charter, to an indefinite number of capable individuals and legal entities of private law, who voluntarily engage in charitable activities (hereinafter each such person is referred to as the "Donor"), to conclude a contract for providing a charitable donation (hereinafter referred to as the "Contract") on the terms described in this Offer, with each Donor who applies.
1.2. This Offer becomes effective from the moment it is posted on the Foundation's website on the Internet at the following link: https://charity.codelions.co. This Offer is valid indefinitely and may be amended or revoked by the Foundation at any time (before its acceptance by the Donor) by posting relevant information on the Website.
1.3. The Foundation may enter into agreements for charitable donations in a manner and/or on terms other than those provided in this Offer. The Donor may separately contact the Foundation to enter into such an agreement.


2. SUBJECT OF THE CONTRACT

2.1. The subject of this Contract is the gratuitous and voluntary transfer by the Donor to the Foundation of monetary funds, in the form of a charitable donation, for the statutory activities of the Foundation. The Donor independently determines the amount of the charitable donation. The Foundation independently determines the directions of using the charitable donation within the framework of its own statutory activities, unless otherwise specified by the Donor in the manner provided by this Contract. The subject of this Contract does not involve obtaining any profit, directly or indirectly, by either Party to the Contract.
2.2. The transfer of monetary funds by the Donor under this Contract is recognized as a charitable donation in accordance with Article 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations."
2.3. At the Donor's discretion, they may specify the intended purpose of the charitable donation, choosing among the programs (projects), goals announced by the Foundation.


3. FOUNDATION'S ACTIVITIES

3.1. The Foundation conducts its charitable activities in accordance with the provisions of the Charter, in particular, supporting the Ukrainian people through funding various types of humanitarian aid and military support. The primary goal is to preserve life, ensure the safety of the territory of Ukraine, and rebuild the state's infrastructure. The charitable donations collected under the Contract are directed towards purchasing and supplying humanitarian aid to individuals and organizations affected by the war, as well as acquiring ammunition and equipment for Ukraine's defenders.
3.2. The Foundation’s activities are not intended to generate profit.
3.3. Information about the Foundation’s activities and reports on the results of such activities are posted on the Website.


4. MAKING A DONATION

4.1. The Donor independently determines the amount of the charitable donation.
4.2. The charitable donation is voluntary and is not subject to further return to the Donor.
4.3. In accordance with this Offer and Contract, charitable donations are made by Donors and used by the Foundation to conduct and ensure charitable activities (implementing directions, goals of charitable activities and charitable programs) of the Foundation in accordance with the Charter and Ukrainian legislation. The Donor agrees to such designated purpose of their donation.
4.4. Methods of making a charitable donation:
- one-time payment;
- subscription, which includes monthly/annual payments in any amount. Such a subscription can be canceled at any time through the user’s bank services (e.g., Privat24, Apple Pay, Google Play, and others).
4.5. Bank details and services for making donations are posted on the Website and/or provided by the Foundation upon request. Donations can be made in both Ukrainian hryvnia and foreign currency as specified on the Website or as agreed by the Parties.
4.6. All costs related to the payment of amounts (fees) associated with the transfer and crediting of charitable donations are borne by the Donor.


5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The Foundation undertakes to use the funds from the Donor’s charitable donation strictly in accordance with Ukrainian legislation and only within the framework of its statutory activities.
5.2. The Foundation has the right to independently determine the directions for using the charitable donation in accordance with its statutory activities and Ukrainian legislation, except when the Donor has specified a particular purpose for their donation under a separate agreement with the Foundation. Thus, if the Donor has not specified a specific purpose for the charitable donation, it is considered that the donation is made for the Foundation’s statutory activities.
5.3. The Foundation has the right to use a part of the Charitable Donation for the Foundation’s administrative expenses without the Donor’s consent, in an amount not exceeding what is stipulated by Ukrainian legislation.
5.4. The Donor has the right to receive information about the use of their charitable donation. For this purpose, the Foundation may post financial reports on the Website, which include information about (i) the amounts of donations received by the Foundation during the reporting period, and (ii) the Foundation’s expenses during the reporting period. Upon written request of the Donor, the Foundation may also confirm the targeted use of the charitable donation with additional documents. Access to reports on the use of charitable donations is provided by the Foundation in the manner and within the terms established by current Ukrainian legislation and this Offer.
5.5. By making a charitable donation, the Donor unequivocally asserts (i) their legal capacity, (ii) the voluntary nature of the transaction, (iii) that the subject of the charitable donation is not under prohibition, arrest, is not encumbered with any other third-party rights and was not acquired in violation of the Law of Ukraine "On Prevention and Counteraction of Legalization (Laundering) of Criminal Proceeds, Financing of Terrorism, and Proliferation of Weapons of Mass Destruction." In the event that the Foundation has reasonable doubts regarding these assertions, the Foundation has the right to request, and the Donor is obliged to provide, appropriate proof of these assertions.


6. ACCEPTANCE

6.1. Acceptance is the full and unconditional acceptance of the Public Offer by performing actions to make a monetary transfer using payment forms and methods posted on the Website, as well as by transferring funds to the Foundation's settlement account through bank institutions. The moment of Acceptance is the date of the monetary transfer and/or crediting of funds to the Foundation’s bank settlement account.
6.2. Acceptance of the Offer means that the Donor agrees with all its provisions and fully understands and agrees with the subject of the Contract, the public collection of donations, and the right of the Foundation to use part of the Donor’s Charitable Donation for the Foundation’s administrative expenses, in an amount not exceeding what is stipulated by Ukrainian legislation.
6.3. The Donor and the Foundation, guided by Articles 639, 641, and 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance, the Contract is considered concluded. The Parties agree that the failure to adhere to the written form of the transaction does not invalidate it.
6.4. The Foundation processes the Donor's personal data provided during the visit to the Website and/or making a monetary transfer (hereinafter - personal data) for the proper implementation of this Contract and its statutory activities. Detailed information about the processing of personal data by the Foundation is posted in the Privacy Policy.


7. FINAL PROVISIONS

7.1. The public collection of charitable donations is conducted on the territory of any country in the world. The direct activity of the Foundation related to the public collection of donations under the Contract is conducted at the location of the Foundation.
7.2. The public collection of charitable donations continues until the liquidation of the Foundation, unless another term is determined by the Foundation.
7.3. The relations between the Donor and the Foundation are governed by the provisions of current Ukrainian legislation. 7.4. The Foundation’s liability for violating this Contract or the procedure for using charitable donations arises on the grounds, in the amount, and in the manner determined by the requirements of current Ukrainian legislation.
7.5. In case of disputes between the parties to this Contract, they shall be resolved through negotiations. If it is not possible to resolve disputes through negotiations, disputes shall be considered by the courts in the manner established by current Ukrainian legislation.
